Please read these Terms and Conditions carefully before exploring our website, placing an order, or making a corporate payment. By visiting or transacting on this site, you agree to be bound by these legal terms, which constitute a binding commercial agreement under the Indian Contract Act, 1872.


1. Corporate Eligibility & Account Validation

  • Capacity to Contract: You warrant that you are at least 18 years of age and hold the statutory legal authority to bind your corporate entity to commercial transactions.
  • Information Accuracy: You agree to provide a valid corporate email, billing address, and GSTIN (Goods and Services Tax Identification Number) during account setup or checkout.
  • Account Safety: You are fully responsible for maintaining the confidentiality of your WordPress user credentials and all activities occurring under your account.

2. Customization and Digital Proof Approval

  • Digital Artwork Approvals: We provide a digital mockup or sample image of the corporate gift before mass production. Once you approve this digital proof via email or our website portal, the design is locked.
  • Color Variations: Microscopic shifts in fabric dye, wood grain, or screen colors may happen. We are not liable for slight variations between digital screens and physical items.
  • Intellectual Property Indemnity: By uploading corporate logos, trademarks, or slogans for engraving, you warrant that your business owns the intellectual property rights. You agree to indemnify Vaultera against any third-party trademark infringement claims.

3. Pricing, GST, and Payment Frameworks

  • GST Taxation: All displayed prices on product pages may exclude GST unless explicitly marked. A formal tax invoice detailing Central GST (CGST) and State GST (SGST) or Integrated GST (IGST) will accompany your order.
  • Price Shifts: We reserve the baseline commercial right to alter pricing catalogs at any time without advance notice due to fluctuations in raw material costs.
  • Advance Deposits: For bulk custom orders, production will commence only after the clearance of the mutually agreed advance payment (e.g., 50% advance, 50% before dispatch).

4. Shipping, Bulk Delivery, and Risk of Loss

  • Delivery Deadlines: Estimated shipping timelines are projections. We are not liable for transit delays caused by third-party courier services, festive peak backlogs, or regional route restrictions.
  • Bulk Address Dispatch: If you use our multi-recipient delivery service, you must provide clean, accurate Excel datasets. We are not responsible for delivery failures caused by bad data or locked corporate premises.
  • Transfer of Risk: Risk of loss and title for physical items pass completely to your business entity upon our handover of the cargo to our registered logistics partner.

5. Return, Replacement, and Cancellation Policy

  • Custom Merchandise Non-Refundable: In compliance with Indian e-commerce standards for personalized goods, items featuring custom engraving, logo printing, or unique tailoring cannot be returned, cancelled, or refunded once production begins.
  • Transit Damage Claims: If corporate packages arrive visibly damaged or shorted, you must report it within 48 hours of delivery. You must provide clear unboxing videos and photographs to our support desk to qualify for free product replacements.

6. Limitation of Liability & Force Majeure

  • Financial Liability Cap: To the maximum extent permitted by Indian law, Vaultera’s total liability for any structural breach of these terms is strictly capped at the total financial amount paid by you for the specific order under dispute.
  • Force Majeure: We are not legally responsible for failures or delays resulting from acts of God, extreme weather, public strikes, lockouts, supply chain shutdowns, national grid failures, or changes in trade import policies.

7. Governing Law and Dispute Resolution

  • Jurisdiction: These terms are governed and construed strictly in accordance with the federal laws of the Republic of India.
  • Amicable Dispute Handling: In the event of a dispute, both parties agree to undergo an informal, amicable bilateral discussion for 30 business days.
  • Arbitration & Courts: If unresolved, the dispute will be escalated to binding arbitration under the Indian Arbitration and Conciliation Act, 1996. The seat of legal arbitration and exclusive court jurisdiction shall be located in [Insert City, e.g., New Delhi / Mumbai], India.
